THIS AGREEMENT GOVERNS YOUR USE OF THE RAAHI PLATFORM AS A BUYER. THE SECTION TITLED "DISPUTE RESOLUTION AND ARBITRATION" CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
This User Agreement ("Agreement") is entered into between you and Raahi Ventures, Inc., doing business as Raahi ("Raahi," "we," "us"). This Agreement governs your use of the Raahi platform, website, and mobile applications (the "Platform") as a Buyer, meaning a person seeking to book an expert or experience through the Platform. By creating an account, accessing the Platform, or booking any expert or experience, you agree to be bound by this Agreement. If you do not agree, you may not use the Platform as a Buyer.
You are also bound by the Raahi Terms and Conditions ("Terms"), which govern the Platform generally and apply to all users. This Agreement supplements the Terms and addresses matters specific to your use of the Platform as a Buyer, without repeating provisions the Terms already state in full. Where this Agreement and the Terms both address a topic, the two should be read together; where a conflict cannot be reconciled on a matter specific to Buyers, this Agreement controls, and on all other matters the Terms control. This Agreement should also be read together with the Safety and Travel Guidelines and the Privacy Policy, each incorporated by reference, and, where a Booking is involved, the Booking, Cancellation, Refund and Payment Policy. Capitalized terms not defined in this Agreement have the meanings given in the Terms, including "Buyer," "Expert," "Booking," and "Platform."
Eligibility to use the Platform as a Buyer, including the minimum age requirement and the provisions for booking an expert inclusive of minor companions, is set out in the Terms. By using the Platform as a Buyer, you confirm that you meet those requirements.
You must create an account to access most features of the Platform, and the account registration and security obligations set out in the Terms, including maintaining the confidentiality of your credentials and using multi-factor authentication where available, apply to you as a Buyer. You must keep your profile information, including your name, contact details, and payment information, accurate and current.
You may maintain only one active Buyer account, except where Raahi expressly permits multiple accounts for a stated business or family purpose. Creating multiple accounts to evade a suspension, to exploit a promotion, or to circumvent any limit or restriction under this Agreement or the Terms is prohibited and may result in suspension or termination of all associated accounts.
Raahi's identity verification, background check, and fraud screening practices, and the consequences of falsified verification documents, are set out in the Terms and apply to you as a Buyer where Raahi requests verification.
Raahi is a technology marketplace. Raahi does not itself provide, organize, supervise, guide, or deliver any experience booked through the Platform; experiences are provided by independent Experts. The full description of Raahi's role and the relationship between Buyers, Experts, and Raahi is set out in the Terms, and this Agreement should be read consistently with that description.
A Booking is formed as described in the Terms, and Booking modification, substitution, and related mechanics are governed by the Booking, Cancellation, Refund and Payment Policy. Before requesting a Booking, you should review the listing carefully, including the experience description, capacity, pricing, and any category-specific requirements or exclusions the Expert has disclosed. At the time of booking, you may be required to provide details like pickup locations, participant details, special requests, dietary requirements, allergies, accessibility requirements, emergency contact information.
9.1 Before Your Experience.
Confirm the details of your Booking, including the date, time, meeting point, and the identity of your Expert. Where applicable, save the local emergency numbers for your destination and share your trip details with a trusted contact, consistent with the Safety and Travel Guidelines. Depending on the Experience booked, you may be asked to provide medical, dietary, allergy, accessibility or other health-related information reasonably necessary for the safe delivery of the Experience. Such information may be shared with the relevant Expert solely for that purpose and will otherwise be handled in accordance with the Privacy Policy.
9.2 During Your Experience.
Follow the safety instructions of your Expert and any applicable park, reserve, or site rules. Keep your phone charged and reachable where practicable. Use the Platform's in-app communication tools to stay in contact with your Expert.
9.3 After Your Experience.
You may rate and review your experience as described in the section titled "Reviews and Ratings." If an item is left behind or an issue arises, report it through the Platform as soon as reasonably possible.
Changes to a confirmed Booking, cancellation windows and fees, and the consequences of a no-show, whether by you or by an Expert, are set out in the Booking, Cancellation, Refund and Payment Policy, which governs notwithstanding any cancellation policy an Expert may separately display.
11.1 Authorization.
By submitting a Booking request, you authorize Raahi to charge your selected payment method for the applicable amount, including any deposit or full payment required at the time of booking.
11.2 Payment Methods and Currency.
Accepted payment methods and the currency in which amounts are charged are set out in the Booking, Cancellation, Refund and Payment Policy and in the Terms.
11.3 Service Fees.
Bookings may be subject to a service fee disclosed to you before you confirm payment. Service fees are non-refundable except as expressly stated in the Booking, Cancellation, Refund and Payment Policy.
11.4 Taxes.
You are responsible for any taxes, fees, or governmental charges applicable to your Booking, as described in the Terms.
11.5 Refunds.
Refund eligibility and process are governed by the Booking, Cancellation, Refund and Payment Policy, consistent with Raahi's discretion over refunds as stated in the Terms.
You should communicate with your Expert only through the Platform's in-app messaging tools. Do not share, and do not ask an Expert to share, personal phone numbers, email addresses, or other direct contact details before a Booking is confirmed; this protects your privacy and helps prevent the off-platform arrangements addressed in the Terms. Raahi may monitor, retain, and review in-app messages, uploaded images and/or booking communications for customer support, safety, fraud prevention, dispute resolution, and legal compliance purposes, consistent with the Privacy Policy.
You must comply with the Prohibited Conduct provisions of the Terms, which apply to you as a Buyer, including the prohibitions on fraud, harassment, use of automated tools to access the Platform, and circumventing the Platform to avoid fees. Without limiting those provisions, you must not submit a Booking request you do not intend to honor, dispute a legitimate charge in bad faith, or use the Platform to arrange an off-platform transaction with an Expert you met through the Platform.
You must treat Experts and other users respectfully and must comply with all applicable laws in connection with your use of the Platform and your participation in any experience, including laws relating to wildlife protection, cultural heritage, and the specific location in which an experience takes place.
The Safety and Travel Guidelines are informational and do not, on their own, create a binding obligation. By accepting this Agreement, you agree to comply with the Safety and Travel Guidelines as a condition of using the Platform, including the general safety principles, the activity-specific guidelines applicable to your Booking, and the emergency procedures described there. A failure to follow the Safety and Travel Guidelines may be treated as a violation of this Agreement.
You must not feed, touch, approach, or provoke wildlife under any circumstances, and must remain in any vehicle, viewing area, or zone designated by your Expert or by applicable park or reserve rules, consistent with the Terms and the Safety and Travel Guidelines. You must avoid littering, excessive noise, or other disruptive conduct in natural, cultural, or rural settings, and must follow any site-specific rules provided by your Expert or by the relevant park, reserve, or property.
The activities offered by Experts through the Platform may carry inherent risks, and the full risk disclosure and your assumption of those risks are set out in the Terms. You confirm that you participate in any experience voluntarily, that you are solely responsible for determining whether a given activity is suitable for you, and that you will follow the instructions of your Expert and any applicable safety requirements described in the Safety and Travel Guidelines.
You are solely responsible for assessing your own physical fitness and health suitability for any experience you book, and for disclosing to your Expert, where relevant to the safety of the activity, any medical condition, mobility limitation, or other consideration that could affect your participation. Certain experiences may require a minimum level of fitness, a medical clearance, a certification such as a diving qualification, or specific travel documentation such as a valid passport, visa, or vaccination record; obtaining and carrying any required documentation is your responsibility. Neither Raahi nor an Expert is required to assess your fitness or health suitability on your behalf, and neither guarantees that a given experience is appropriate for your individual circumstances.
The requirement that reviews reflect a genuine completed transaction, and the prohibition on incentivized or manipulated reviews and on retaliation against reviewers, are set out in the Terms and apply to reviews you submit. Raahi may feature your review as a testimonial in advertising and promotional materials as described in the Terms; you may opt out of having your name or photograph used in that specific extracted-testimonial context by contacting support@raahi.io, without affecting the continued display of your review on the original listing.
If you submit ideas, suggestions, or other feedback about the Platform, Raahi may use that feedback for any purpose, including to develop or improve the Platform, without any obligation to compensate or credit you.
Ownership of the Platform, User Content licensing, and trademark and copyright matters are set out in the Terms and apply to you as a Buyer, including the license you grant to Raahi over content you submit and the representation that you have obtained consent from any identifiable third party depicted in content you submit.
Raahi's collection, use, and handling of your personal information are described in the Privacy Policy, which is incorporated into this Agreement by reference.
Raahi is a technology marketplace that facilitates connections between Buyers and independent Experts. Except where Raahi expressly states otherwise, Raahi is not the provider of the underlying experience, and each Expert remains solely responsible for the delivery, quality, and safety of the experience that Expert provides. This Agreement does not create a direct contractual relationship between you and any Expert; your relationship with Raahi is governed by this Agreement and the Terms, and your relationship with an Expert during an experience is subject to that Expert's own conduct and the applicable law where the experience takes place.
The disclaimer of warranties, the limitation of Raahi's liability, and your indemnification obligations toward Raahi are set out in full in the Terms and apply to you as a Buyer without modification by this Agreement.
Raahi's lack of liability for delays or failures caused by circumstances beyond its reasonable control is set out in the Terms, and the effect of a force majeure event on a specific Booking is addressed in the Booking, Cancellation, Refund and Payment Policy.
If you have a complaint about the service an Expert provided, you should report it through the Platform as soon as reasonably possible. Raahi will review the complaint consistent with its complaint escalation process and will determine, in its discretion, whether a refund or other remedy is appropriate under the Booking, Cancellation, Refund and Payment Policy. Because Experts are independent contractors and not Raahi's employees or agents, a complaint about an Expert's conduct or service quality is addressed through this process and through Raahi's oversight of the Expert relationship; it does not, on its own, create a claim against Raahi for the Expert's conduct, except to the extent the Terms expressly provide otherwise.
The arbitration agreement, the requirement to attempt informal resolution first, and the small claims court exception applicable to disputes between you and Raahi are set out in the Terms and apply to you as a Buyer under this Agreement.
YOU AND RAAHI AGREE ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR CLASS ARBITRATION,
consistent with the Terms. You may opt out of this arbitration agreement in the manner and within the period described in the Terms.
This Agreement is governed by the laws of Delaware, without regard to conflict of laws principles, consistent with the Terms. Subject to the section titled "Dispute Resolution and Arbitration," any action not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Raahi's grounds for suspending or terminating your account, and the notice and payout-related procedures that apply, are set out in the Terms. If your account is suspended or terminated, any pending Booking may be cancelled, and any refund will be determined consistent with the Booking, Cancellation, Refund and Payment Policy. You may close your account at any time through the Platform, subject to completion of any Booking already confirmed.
You consent to accept this Agreement and to conduct related transactions electronically, and to receive disclosures under this Agreement electronically, consistent with the federal E-SIGN Act. Your acceptance through the Platform, including by creating an account, clicking to accept, or completing a Booking, constitutes your electronic signature and has the same legal effect as a handwritten signature. You may withdraw this consent and request paper records by contacting support@raahi.io, which may limit your ability to continue using the Platform until an alternative method is arranged.
Raahi may update this Agreement from time to time. Material changes will be communicated by email, in-app notice, or website notice, and will take effect for Bookings made after the effective date of the change; continued use of the Platform after a change takes effect constitutes your acceptance of the revised Agreement. Notices to you may be sent to the email address or in-app contact associated with your account; notices to Raahi should be directed to the contact information set out in the Terms.
Raahi may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign this Agreement without Raahi's prior written consent.
This Agreement, together with the Terms, the Safety and Travel Guidelines, the Privacy Policy, and, where applicable, the Booking, Cancellation, Refund and Payment Policy, each incorporated by reference, constitutes the entire agreement between you and Raahi regarding your use of the Platform as a Buyer. If any provision of this Agreement is found invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No waiver of any provision is effective unless in writing. Nothing in this Agreement creates a partnership, joint venture, or agency relationship between you and Raahi, and nothing in this Agreement creates a direct contractual relationship between you and any Expert.
